Corporate Secretarial and Compliance

Companies Act obligations are unforgiving and largely invisible until they are breached. We run them on a calendar so that nothing depends on someone remembering.

Overview

Secretarial compliance fails quietly. There is no invoice unpaid and no customer complaining, only a filing that did not happen and a penalty that accrues until someone notices. Removing that risk is a matter of process rather than expertise, and we treat it accordingly.

Work in this practice is delivered under the same operating standard that applies across the firm. The compliance calendar is mapped at the outset and driven by us, positions involving judgement are documented with the authority relied upon at the time they are taken, and nothing is filed or issued without an independent internal review by someone other than the preparer.

Where a matter touches another practice area, and most do, it is handled inside the same file rather than referred outward. That is the point of holding these disciplines together.

Common questions

Our filings are behind. Is that recoverable?

In most cases yes. We establish exactly what is outstanding and what has accrued, then agree a regularisation sequence with you before filing. Rushing this usually increases the cost rather than reducing it.

Do you maintain statutory registers and minutes?

Yes. Board and general meeting documentation, statutory registers and resolution records are maintained as part of the retainer so the record is complete when it is inspected.
