Capital Markets

Support for companies approaching public markets or operating under continuous institutional scrutiny.

Overview

The gap between a well run private company and a listable one is mostly documentation and governance rather than performance. Closing it takes time, which is why the work should begin well before a transaction is contemplated.

Work in this practice is delivered under the same operating standard that applies across the firm. The compliance calendar is mapped at the outset and driven by us, positions involving judgement are documented with the authority relied upon at the time they are taken, and nothing is filed or issued without an independent internal review by someone other than the preparer.

Where a matter touches another practice area, and most do, it is handled inside the same file rather than referred outward. That is the point of holding these disciplines together.

Common questions

When is the right time to start listing preparation?

Considerably earlier than most boards assume. Governance, related party documentation and historical financial presentation all take time to build and cannot be assembled retrospectively.

Do you replace the merchant banker?

No. We prepare the company so that the banker, the auditor and the legal counsel are working from a clean base.
